Terms and Conditions

The City retains the right to select vendors and booth locations for the Pokémon Event (“Event”) at its sole discretion. Space is limited, so the City will seek a diverse mix of vendors and may limit vendors offering duplicate or substantially similar products or services. Booth applications will be reviewed based on the products or services offered, available space, receipt of the application, and the applicant’s overall fit with the Event.

By submitting an application to operate a booth at the Event, you (“Vendor”) agree to the following terms and conditions if your application is approved:

  1. Vendor Selection and Booth Assignment: The City reserves the right to approve or deny any vendor application and to determine booth locations at its sole discretion. Booth assignments are not guaranteed and may be changed as necessary.
  2. Maintain Booth: Vendor must keep its booth clean, neat, safe, and appropriately staffed throughout the Event. Vendor may not expand beyond its assigned booth space or obstruct aisles, entrances, exits, sidewalks, or other public areas.
  3. Family-Friendly Conduct: The Event is intended to be family-friendly and welcoming to attendees of all ages. Vendor agrees that its conduct, booth, products, displays, signage, promotional materials, and activities will be appropriate for a family audience and free of profanity, obscenity, sexually explicit or suggestive material, illegal activity, or favorable references to drugs, alcohol, or tobacco. Vendor may not engage in conduct that advocates for or criticizes an individual or group based on protected characteristics.
  4. Pokémon and Intellectual Property: Vendor is responsible for ensuring that all products, artwork, merchandise, displays, games, and promotional materials it offers or uses comply with applicable intellectual property and copyright laws. Vendor may not represent itself as an official Pokémon, Nintendo, The Pokémon Company, or other affiliated entity unless it has received authorization to do so. The City does not grant Vendor any rights to use Pokémon or other third-party trademarks, logos, characters, artwork, or copyrighted materials.
  5. Trading Cards and Merchandise: Vendors selling Pokémon cards, collectibles, toys, or other merchandise must accurately represent the products being sold. Counterfeit, unauthorized, or knowingly misrepresented merchandise is prohibited. The City reserves the right to require removal of any product that appears to violate applicable laws or these terms and conditions.
  6. Cooperation: Vendor agrees to cooperate with law enforcement, fire personnel, City personnel, Event staff, and other authorized personnel and to promptly follow their reasonable instructions.
  7. Applicable Laws and Permits: Vendor agrees to comply with all applicable federal, state, and local laws, ordinances, regulations, policies, and procedures. Vendor is responsible for obtaining and maintaining all permits, licenses, and approvals required to operate its booth, including any permits required for the sale or distribution of food or beverages.
  8. Independent Contractor: Vendor is an independent contractor and is not an employee, agent, partner, or representative of the City.
  9. Safety: Vendor must operate its booth in a safe manner and may not engage in activities that could endanger attendees, employees, volunteers, animals, equipment, or property. Vendor may not damage City property, Event property, or the property of another vendor or attendee.
  10. Food and Beverages: Vendors providing or selling food or beverages are responsible for complying with all applicable health department requirements and obtaining any required permits. Vendors may not sell or distribute alcoholic beverages at the Event unless specifically authorized in writing by the City.
  11. Assignment/Subcontracting: Vendor may not assign, transfer, sell, or subcontract its booth space or its obligations under these terms and conditions without prior written approval from the City.
  12. Inspections: The City and authorized Event personnel may inspect Vendor’s booth and activities at any time during the Event to ensure compliance with these terms and conditions and applicable laws and regulations.
  13. Insurance and Liability: The City is not responsible for providing insurance for Vendor or Vendor’s property, equipment, merchandise, employees, volunteers, or agents. Vendor is solely responsible for obtaining any insurance it determines necessary. Vendor agrees to indemnify and hold harmless the City and its elected and appointed officials, officers, employees, volunteers, and agents from claims, damages, liabilities, losses, and expenses, including reasonable legal fees, arising from the acts or omissions of Vendor or its employees, volunteers, contractors, or agents in connection with the Event, to the extent permitted by law.
  14. Loss, Damage, or Theft: The City is not responsible for loss, theft, or damage to Vendor’s merchandise, equipment, personal property, or other materials before, during, or after the Event.
  15. Cancellation or Modification: The City reserves the right to cancel, postpone, relocate, modify, or discontinue the Event, in whole or in part, at any time and for any reason, including weather, safety concerns, emergencies, or circumstances beyond the City’s control. The City is not liable to Vendor for losses or expenses resulting from the cancellation, postponement, relocation, or modification of the Event.
  16. Violation of Terms: The City may require a Vendor to remove any product, display, signage, or activity that does not comply with these terms and conditions or applicable law. The City may also require a Vendor to cease operations or leave the Event for failure to comply with these terms and conditions, failure to follow reasonable instructions, or conduct that creates a safety or public concern.
  17. Acknowledgment: By submitting an application, Vendor acknowledges that it has read, understands, and agrees to comply with these terms and conditions. Submission of an application does not guarantee approval or a booth assignment.
  1. Entire Agreement: This document contains the obligations of Midvale City and the Los Muros on Main: Midvale City Mural Festival Committee regardless of prior written or oral representations. 
  2. Revocation: The Los Muros on Main: Midvale City Mural Festival Committee may revoke the Vendor’s invitation to operate a booth at the Festival at any time if Vendor violates these terms and conditions. If the Vendor is at the Festival and receives notice of revocation by a Los Muros on Main: Midvale City Mural Festival Committee representative, Vendor must immediately terminate its use of the booth in a prompt, safe, and orderly manner. 
  3. Vendor Fee and Deposit: There is no fee to participate as a vendor. However, if accepted to participate as a vendor, a $50 vendor deposit will be required. This deposit will be refunded the week after the mural festival unless you do not show up, in which case the deposit is non-refundable.
